SaaS Services (Zoho, ManyChat)

Service Usage: HiveCliq provides expert integration, management, and optimization of Zoho and ManyChat services, tailored to enhance efficiency and customer engagement in your business operations.

Zoho Services:

Comprehensive Suite: We offer integration and customization of the full range of Zoho applications, including CRM, Finance, HR, and more, tailored to your business needs.

Data Handling: We ensure the security and confidentiality of your data in compliance with applicable laws and regulations. Zoho’s powerful tools are utilized to streamline processes and improve data analysis capabilities.

ManyChat Services:

Chatbot Solutions: We develop and maintain custom ManyChat chatbot solutions, facilitating enhanced interaction and engagement with your customers through automated messaging on platforms like Facebook Messenger and WhatsApp.

Campaign Management: Our team manages your ManyChat campaigns, optimizing message flows, and responses to ensure high engagement and customer satisfaction.

Subscription and Payment:

Billing Cycle: Fees for our SaaS services are billed at the beginning of each billing cycle. Service commencement is contingent upon receipt of the first payment.

Service Suspension for Non-Payment: Delayed payments may result in a temporary suspension of services. Access to Zoho and ManyChat functionalities will be reinstated once overdue balances are cleared.

Data Privacy and Security:

Confidentiality Commitment: We commit to maintaining the confidentiality of your business information, using it solely for the purpose of delivering our services.

Security Measures: We implement industry-standard security measures to protect your data from unauthorized access and breaches.

Cancellation Policy:

Service Termination: You may cancel your SaaS subscriptions with us by providing written notice 30 days in advance. Upon cancellation, your data will be handled as per our data retention and deletion policies.

Liability and Indemnification:

Limitation of Liability: HiveCliq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

Indemnification: You agree to defend, indemnify, and hold harmless HiveCliq and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these terms or your use of the services, including, but not limited to, your user content, any use of the service’s content, services, and products other than as expressly authorized in these terms.

Web Development Services

General Terms:

• Payment and Ownership: A 70% non-refundable deposit is required to initiate any web development project, with the balance due upon project completion but before the website goes live. For clients on monthly payment plans, the website remains HiveCliq’s property until fully paid. Failure to complete payment will result in the website being disabled.
• Project Lifecycle: The development process follows phases: Design, Development, Testing, and Launch, each requiring your approval to proceed to the next stage.
• Content Submission: All necessary content must be provided in specified formats at project milestones to avoid delays or additional charges.

Dedicated Webflow Services:

• Month-to-Month Service Agreement: We offer flexible month-to-month Webflow development and management services. This plan is ideal for clients who require ongoing updates, optimizations, and maintenance without long-term commitments.
• Payment Terms for Webflow Services: Monthly fees for Webflow services are due at the start of each month and are essential for the continuous management and operational functionality of the website.
• Service Suspension for Non-Payment: If monthly payments are not received on time, we reserve the right to temporarily suspend the Webflow services until payment is made. This includes halting both management and hosting services, which may result in your website being offline.
• Webflow-Specific Features and Limitations: We leverage Webflow’s robust platform to offer responsive designs, CMS features, and e-commerce solutions. Clients must understand that some advanced integrations or features may require third-party services, which could incur additional costs.
• Ownership and Intellectual Property: Upon full payment, the client retains ownership of the website’s visual design and content. However, the underlying code and software remain the intellectual property of Webflow, used under license.

Marketing Services

Scope and Deliverables: Our marketing services encompass social media management, content creation, and digital advertising campaigns across platforms including Google Ads, Meta (Facebook Ads), and TikTok Ads. We provide monthly performance reports to help track the effectiveness and ROI of the campaigns.

PPC Advertising (Pay-Per-Click):

• Google Ads, Meta, and TikTok Ads: We manage PPC campaigns by creating and optimizing ads across these platforms to increase visibility and drive traffic to your business. While we apply best practices to maximize performance, we cannot guarantee specific results as ad performance can vary based on market conditions, audience behavior, and platform algorithms.
• Campaign Maturity: A properly structured PPC campaign typically takes up to three months to mature and show optimized results. During this period, we will continuously adjust strategies based on data analytics to improve campaign effectiveness.
• No Guaranteed Outcomes: Due to the variables that impact digital advertising, such as budget fluctuations, market trends, and changes in platform policies, exact outcomes cannot be guaranteed.

Content Creation:

• Content Deliverables: We produce tailored content designed to engage your target audience and enhance your brand’s online presence. This includes text, graphics, and video content for use in digital marketing campaigns, social media, and other online platforms.
• Client Approval: All content created will be subject to your approval. We require timely feedback to ensure deadlines are met, and revisions can be managed effectively.
• Revisions and Amendments: Our content creation services include up to two rounds of revisions per content piece to ensure it meets your requirements. Additional revisions beyond this scope may incur further charges.
• Intellectual Property Rights: Upon full payment, the client will own the final copy of the produced content. However, HiveCliq retains the right to use completed projects and case studies for its own promotional purposes, unless specifically requested otherwise by the client.

Payment Terms:
Invoiced monthly in advance, the continuation of services is dependent on timely payments. Non-payment may result in a pause or cessation of ongoing marketing campaigns and content creation services.

General Terms

• Quotations and Payments: All quotations are provided free of obligation and are valid only for the specified services. VAT will be added where applicable. Payments are due upon invoice presentation without deduction.
• Liability and Indemnification: HiveCliq is not liable for losses caused by external factors beyond our control. Clients indemnify HiveCliq against claims arising from misuse of services.
• Legal Fees: Clients are responsible for legal costs incurred by HiveCliq to recover unpaid invoices.

Compliance and Governing Law

• International Compliance: Services provided internationally must comply with local laws, with clients responsible for any non-compliance issues.
• Governing Law: Governed by South African law.
